In accordance with the Company Law and the Commercial Bank Law and other relevant laws, regulations, and regulatory requirements, Weihai City Commercial Bank has established a corporate governance structure system consisting of Shareholders general meeting, the Board of Directors, the Board of Supervisors, and senior management,and has unified the leadership of the Party with the improvement of corporate governance, fully played the leadership role of the Party organization, and formed a modern corporate governance system of commercial banks with Chinese characteristics.
The Shareholders General meeting is the highest authority, and shareholders exercise their voting rights and participate in major decisions of the company by attending the shareholders meeting in accordance with the law.
The Board of Directors is responsible to the Shareholders general meeting and bears ultimate responsibility for the operation and management of the Bank. There are six specialized committees under it, including Stratigic Development ?Research Committee, Related Party Transactions Control Committee, Risk Management Committee, Nomination and Remunarsation Committee, Audit Committee, and Consumer Rights Protection Committee.
The Board of Supervisors is the internal supervisory body of the Bank, responsible to the shareholders General meeting, and has the Supervision Committee and the Nomination Committee.
The senior management conducts business activities in accordance with the Banks Articles of Association and the authorization of the Board of Directors. It regularly reports to the Board of Directors and accepts supervision from the Board of Supervisors. It has seven committees: Assets and Liabilities Management Committee, Credit Review Committee, Risk management Committee, Information Technology Committee, Marketing and Product Innovation Committee, Investment Review Committee, and Data Governance Committee.
The General Meeting of Shareholders, the Board of Directors, the Board of Supervisors, and the Senior Management of the Bank each fulfill their respective responsibilities, operate in coordinance, and effectively check and balance, safeguard the interests of shareholders and the legitimate rights and interests of stakeholders including depositors, and ensure the sustained and stable development of the Bank.
